These Terms of Use (the “Terms”) govern your access to and use of www.bellamaredevelopment.com and the related digital properties of Bellamare and its affiliates (collectively, “Bellamare,” “we,” or “us”), including content related to Bellamare Development, Bellamare Property Solutions, Certified Construction, Marée Creative, and Blackline Capital (the “Site”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Informational purposes only

The Site is provided for general informational purposes about Bellamare’s real estate development, construction, property management, creative, and investment platform. Nothing on the Site constitutes legal, tax, accounting, investment, or other professional advice. You should consult qualified professionals before acting on any information provided.

Not an offer to sell securities

No content on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other investment. Any securities offering by Blackline Capital or an affiliated entity is made only by means of formal offering documents delivered to qualified investors and only in jurisdictions where the offering is permitted. Past performance is not indicative of future results, and all forward-looking statements involve risk and uncertainty.

Information about investment activities or opportunities is directed solely to qualified persons reviewing the materials in the appropriate context (including those who have requested access through our data-room process). Use of investor-facing materials does not create any commitment by you to invest, or by Bellamare or its affiliates to accept any commitment.

Permitted use

You may view, download, and print pages from the Site for your own personal, non-commercial use, provided that you do not modify the content and you retain all copyright and other proprietary notices. Any other use, including reproduction, distribution, transmission, or republication of Site content, requires Bellamare’s prior written consent.

The Site, including text, images, renderings, photographs, graphics, logos, layout, design, and software, is owned by Bellamare or its licensors and is protected by copyright, trademark, and other intellectual property laws. “Bellamare,” “Bellamare,” “Bellamare Development,” “Bellamare Property Solutions,” “Certified Construction,” “Marée Creative,” and “Blackline Capital,” along with associated logos and visual marks, are trademarks of Bellamare or its affiliates. Third-party trademarks (including hotel brand marks such as Marriott, Hilton, IHG, and Hyatt) are the property of their respective owners and are used here for identification only; their appearance does not imply endorsement.

User submissions

Information you submit through forms on the Site (excluding personal information governed by the Privacy Policy) is treated as non-confidential unless explicitly designated as confidential in the submission context (for example, data-room access requests). By submitting non-confidential information, you grant Bellamare a non-exclusive, royalty-free, worldwide license to use that information for the purpose of responding to your inquiry and operating the Site. Do not submit anything you do not want shared with the relevant Bellamare team.

Third-party links and services

The Site contains links to and integrations with third-party services, including Google Forms (for internship applications) and DocSend (for confidential materials). Bellamare is not responsible for the availability, content, or practices of any third-party site or service. Your use of those services is governed by their own terms and policies.

Forward-looking statements

Statements on the Site about anticipated projects, timelines, opening dates, financial performance, returns, pipeline, and market conditions are forward-looking and reflect Bellamare’s current expectations and assumptions. Actual results may differ materially due to factors including market conditions, financing availability, construction costs, entitlement and permitting outcomes, brand and partner decisions, and other risks. Bellamare undertakes no obligation to update forward-looking statements as circumstances change.

Performance disclosures and methodology

Methodology.Figures presented on the Site referencing Bellamare’s track record — including development totals, historical internal rate of return (IRR), years operating, and project counts — reflect Bellamare-led developments since 2011 (and projects led by Bellamare principals prior to the formal Bellamare entity, where applicable). “Total Development” is the cumulative gross development cost across completed and active projects. “Historical IRR” reflects realized sponsor-level returns on completed investments, computed gross of fund-level fees and any specific offering’s fee structure; net returns to any individual investor will differ.

Past performance. Past performance does not guarantee future results. Forward-looking statements about timelines, pipeline, and returns involve risk and uncertainty; actual results may differ materially. Any prior project performance shown reflects market conditions, capital structure, and execution circumstances that may not be replicable.

Not an offer. The Site is informational only and is not an offer to sell, or a solicitation of an offer to buy, any security or other investment. Limitation of liability

To the maximum extent permitted by law, Bellamare and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Site or any content on it, even if Bellamare has been advised of the possibility of such damages. Bellamare’s aggregate liability arising out of or related to your use of the Site will not exceed one hundred U.S. dollars ($100.00).

Indemnification

You agree to defend, indemnify, and hold harmless Bellamare and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

Governing law and venue

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Madison County, Mississippi, and you consent to the personal jurisdiction and venue of those courts.

Changes to these terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date above. Continued use of the Site after an update constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
